Subject: transfers from ltd to indivudual

An investment property value £5m with mortgage £3.5m is owned by A ltd. Mr B is the 100% shareholder of A ltd Looking to re-finance and the most effective way if for the new finance to be in Mr B's name. Both Mr B and Ltd are partners in a LLP. Is it possible to transfer from A ltd to Mr B with out incurring SDLT either directly or via the LLP?

In principle this could be done via the LLP without paying SDLT. A direct distribution is likely however to trigger SDLT because the mortgage.
